1. About Bright Capital America

Bright Capital America ("we", "us", "our", the "Platform") provides software that connects founders, accredited and institutional investors, investment groups, family offices, funds, and other qualified participants. We are a technology platform. We are not a broker-dealer, investment adviser, funding portal, custodian, escrow agent, or underwriter, and we do not provide investment, legal, tax, or financial advice.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement. Investment-related features are available only to users who are eligible under the laws of their jurisdiction, including accreditation, professional-investor, or equivalent classifications where required.

3. No advice and no guarantee

Nothing on the Platform constitutes investment, legal, tax, or financial advice or a solicitation, offer, or recommendation to buy or sell any security or interest. We do not guarantee funding for any company, investment returns for any investor, or any specific outcome. Every user is responsible for conducting their own independent due diligence and, where appropriate, consulting qualified professional advisors.

4. Acceptable use

You agree not to misuse the Platform, including by submitting false, misleading, or unlawful information; impersonating another person or entity; scraping or attempting to reverse-engineer the Platform; interfering with security or access controls; or using the Platform to distribute unsolicited communications.

5. Content you submit

You retain ownership of information you upload. You grant Bright Capital America a limited, worldwide, non-exclusive license to host, display, and process that content solely to operate and improve the Platform and to make it available to counterparties you choose to share it with.

6. Third-party services

The Platform may integrate with third-party services (identity verification, payment rails, analytics, communications, and others). Your use of those services is subject to their own terms and privacy policies.

7. Suspension and termination

We may suspend or terminate access at any time if we believe a user has violated these terms, poses a risk to other users, or where required by applicable law or regulation.

8. Disclaimers and limitation of liability

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Bright Capital America disclaims all warranties, express or implied, and is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities.

9. Governing law

These terms are governed by the laws applicable to Bright Capital America's principal place of business, without regard to conflict-of-law rules. Specific governing-law and dispute-resolution wording will be finalized before public launch and disclosed here.

10. Changes

We may update these terms from time to time. Material changes will be communicated to active users through the Platform or by email.
