Bright Formation

Bright Start — guided U.S. company formation

For founders establishing a new U.S. company and organizing their initial company records.

Draft
Your company is not incorporated until the filing authority accepts the filing.

1.Eligibility and authority

Formation and paid professional services cannot be finalized without confirmed legal capacity and company authority. An authorized adult or business representative must complete this step with you.

Formation, purchase, and paid professional services stay locked until every confirmation above is affirmed.

2.Formation questionnaire

3.Neutral entity comparison

Bright Capital America does not pre-select a state or entity type for you. The comparison above is neutral information, not a recommendation; the appropriate structure depends on legal and tax circumstances and requires professional review.

5.Registered agent

A registered agent receives official documents for your company and generally must maintain an eligible physical address in the company's formation or registration state.

6.Itemized estimate

  • Select a state to see an itemized estimate.

Government and third-party amounts are collected and remitted at cost and are shown separately from the Bright Capital America subscription. Bright Capital America does not add an undisclosed markup to a government fee.

7.Authorize and submit

No filing is submitted, and no company is described as incorporated, until an authorized representative approves and the filing authority accepts it.

8.EIN and 83(b) guidance

An Employer Identification Number is issued by the IRS. The IRS does not charge a fee to issue an EIN. Where Bright Capital America assists, the amount shown is a Bright Capital America assistance and coordination fee — it is not an IRS fee. Eligible customers may apply directly to the IRS at no charge instead. Responsible-party information is collected only with explicit authorization.

83(b) deadline

An 83(b) election generally must be filed no later than 30 days after the related property transfer. Bright Capital America reminders are administrative tools, not tax or legal advice. Consult a qualified tax or legal professional promptly.
